Sweepstakes Entry Period: The All-Star Spalding Sweepstakes ("Sweepstakes") begins at 12:00:01 AM Eastern Time ("ET") on 1/17/12 and ends at 11:59 PM ET on 2/7/12 ("Entry Period").

Eligibility: Sweepstakes is open to legal residents of Florida, age 18 or older at time of entry. Employees, officers, directors, & agents of NBA Properties, Inc., National Basketball Association ("collectively "Sponsor" and/or "NBA"), the NBA Member Teams (including, but not limited to the Miami Heat), NBA Media Ventures, LLC, USA Basketball, Russell Brands, LLC, Spalding® Division ("Spalding"), Ventura Associates International LLC ("Administrator') & each of their respective parent companies, subsidiaries, affiliates, officers, governors, owners, distributors, retailers, advertising/promotion agencies (collectively, "Released Parties"), & their immediate family members (spouse, parent, child, sibling & their respective spouses, regardless of where they reside) & those living in the same household of each, whether or not related, are not eligible to participate or win a prize. This Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law.

How to Enter: There are four (4) methods of entry. Entry Method #1: Make a Spalding purchase of $25 or more (excluding sales tax) in one (1) transaction at any Heat Arena location during the Entry Period and receive an "All-Star Experience Entry Card" containing a personal entry code to enter the Sweepstakes at www.theallstarexperience.com ("Website"). (See "Entry Method #4" to enter without a personal entry code.) Online Entries must be received by 11:59 PM ET on 2/7/12. Online entrants subject to all notices posted online including but not limited to Sponsor's privacy policy. Entry Method #2: To enter, send a text message from your wireless phone with the word ALLSTAR to short code 44144 ("Mobile Entry") during the Entry Period and follow the directions that are text back to you. To enter using your mobile device, entrant must have a valid wireless MTN and account. Entrant must also be a Wireless service subscriber and must have a text messaging two-way capable handset and digital service in order to enter the Sweepstakes using the text messaging method. You will be charged for the text messages sent and received from your handset according to the terms in your Customer Agreement with your service provider. In case of dispute as to identity of entrant, entry will be declared made by the authorized account holder of the MTN. "Authorized Account Holder" is defined as the natural person who is assigned a MTN by your carrier or as shown on your carrier's records. By participating/entering in this Sweepstakes by text messaging, you are authorizing your carrier to provide Sponsor and its designated agent with your text messaging address. Entry Method #3: Scan the QR code on the All-Star Experience Entry Card, or promotional poster or counter card display to access the Website and follow the instructions to enter your personal entry code during the Entry Period. In order to scan QR codes, your mobile phone must have a QR Code reader installed. QR Code Reader compatibility may be limited to certain mobile phones and may not be available through all wireless carriers. After the QR Code scan is complete, you will be routed to a mobile-optimized webpage, follow the instructions on screen to complete and submit an entry form. If an entrant opts to use the QR Code reader application via a wireless mobile device and/or download or transmit data via his/her wireless mobile device, standard rates may apply according the terms and conditions of his/her service agreement with his/her wireless carrier. Other charges may apply (such as normal airtime and carrier charges). Wireless carriers' rate plans may vary, and entrant should contact his/her wireless carrier for more information on rate plans and charges relating to his/her participation in this game. Entry Method #4: ŤTo enter without purchase or a personal entry code, hand print your full name, complete mailing address, telephone number (area code included), and date of birth on a postcard and mail it to: All-Star Spalding Sweepstakes, c/o Ventura Associates International LLC, 1040 Ave of the Americas, Attn.: AJ, 20th Floor, NY, NY 10018. Mail-in entries must be postmarked between 1/17/12 and 2/7/12 and received by 2/10/12. Sponsor is not responsible for lost, late, damaged, illegible, garbled, inaccurate, misdirected, undelivered, delayed or postage due mail/entries. No photocopied, facsimile or mechanically reproduced, altered or incomplete entries will be accepted. All entries, regardless of entry method, become the Sponsor's property and will not be returned or acknowledged.

Odds of winning depend on the number of eligible entries received. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prize.
Prizes and Approximate Retail Values ("ARV"):Ť One (1) Grand Prize: Winner will receive a 4-day/3-night trip for two people to attend NBA All-Star 2012 ("Event") in Orlando, FL (ARV: $3,825.00). Trip includes double occupancy, hotel accommodations for three nights, two (2) tickets to the All-Star Saturday Night event on the first night and two (2) tickets to All-Star Game on the 2nd night, (selection of seats are at the sole discretion of the Sponsor) and transportation as follows: if the winner resides less than 150 miles from the Event location, round trip to and from the Event limousine service will be provided; if the winner resides more than 150 miles from the Event location, round-trip coach air transportation from a major airport nearest to the Grand Prize winner's primary residence will be provided. Selection of airline carrier or limousine service is at Sponsor's sole discretion. Winner and guest must travel on dates specified by Sponsor (tentatively scheduled for Friday, February 24th, 2012 - Monday, February 27th, 2012, but subject to change) or forfeit all rights to the trip. ŤActual value of Grand Prize depends on winner's location and fare at time of departure. If actual value of trip turns out to be less than the stated ARV listed herein, then the difference will not be awarded in cash. One (1) First Prize: One (1) Spalding® 72" Arena View® In-ground System with accompanying professional installation of system, one (1) Official NBA/Spalding® ball cart and one (1) NBA composite replica game ball. (ARV: $3,980.99). One (1) Second Prize: One (1) Spalding® Glass Portable System. (ARV: $849.) ARV for all Prizes: $8,654.99

For Grand Prize Winner: All meals, ground transportation (other than as noted), taxes, gratuities, incidentals, upgrades, service charges or other expenses not specified herein are not included and are the winner's sole responsibility. All prize details are at Sponsor's sole discretion. Winner and guest must travel together on the same itinerary including same departure and return dates. Travel arrangements must be made through Sponsor's agent on an airline carrier or limousine service of Sponsor's choice. Winner and guest must comply with any security procedure or measures imposed by the Sponsor, and/or Event coordinator(s) and/or representatives who reserve the right in their sole discretion to suspend or cancel the participation of winner and/or his/her guest due to non-compliance with any security procedure or inappropriate behavior or misconduct. If the Event is postponed, canceled, or has occurred, no compensation or substitution will be provided and the Sponsor shall have no further obligation to the winner (and guest) other than to supply the remaining portion of trip. Should this be the case, trip must be taken within 12 months from the date of prize notification. If for any reason whatsoever, winner is unable to attend the Event after all travel arrangements have been made and paid, the Sponsor shall have no further obligation to the Grand Prize winner. If Grand Prize is forfeited prior to Sponsor finalizing and paying for travel, and there is sufficient time to notify an alternate winner, the prize will be awarded to an alternate winner in a separate random drawing from among all non-winning eligible entries. Winner and guest are responsible for obtaining the proper travel documentation (e.g., valid photo ID) prior to travel. Each guest must be 18 years or older and will be required to execute and return a Liability/Publicity Release prior to travel.

Winner Notification: Potential winners ("winners") will be selected in a random drawing from all eligible entries received on or about 2/13/12 under supervision of an independent judging organization ("judges") whose decisions are final and binding. If potential winners submitted entry via a mobile device using a text message, prizes will be awarded to the name corresponding to the Wireless Mobile Telephone Number ("MTN") from which the text message originated. If potential winners submitted entry via online, prizes will be awarded to the name on the online entry form.Ť Potential winners will be notified by text message, email, telephone, fax or overnight mail.

Each winner must be able to receive calls from an unlisted/blocked number if s/he entered via text (i.e., Entry Method #2). If notified via email and/or text, the potential winner must confirm receipt of notification within twenty-four (24) hours after notification. Three attempts will be made to contact the potential winner within twenty hours. If a potential winner fails to respond within the twenty four hour period, it will result in disqualification, and alternate winner will be selected in a separate random drawing. Each winner will be required to complete and return an Affidavit of Eligibility and Liability and, unless prohibited by law, Publicity Release ("Affidavit/Release") as well as any other documents ("Prize Notification Documents") which may be required by Sponsor, all of which must be received fully-executed within seventy two (72) hours of time/date printed on notification or he/she may be disqualified.Ť Prepaid overnight mailing envelope may be provided. The Sponsor reserves the right to investigate winner to determine if s/he has been truthful, and to disqualify him or her if the Official Rules requirements were not met. A background check may be conducted on Grand Prize winner. A parent or legal guardian will be required to complete and return all required documents on behalf of any eligible minor. If Affidavit/Release is returned as undeliverable or if the selected winners cannot accept or receive their prize for any reason, or he/she is not in compliance with these Official Rules, their prize will be forfeited and an alternate winner will be selected in a separate random drawing, time permitting. Recipients of prizes must have a U.S. telephone number and mailing address. Prizes awarded within 7 days after receipt and verification of completed Affidavit/Release. Prizes are not redeemable for cash. Prizes are non-assignable or transferable. No substitution is permitted except if prizes are unavailable, in which case a prize of equal or greater value will be awarded. Any other incidental expenses on prizes not specified herein are the winner's sole responsibility. Winners are responsible for all federal, state, local and income taxes associated with winning prize. Winners will be required to furnish his/her social security number for the sole purpose of preparation of any tax forms as required by law. Except where prohibited by law, entry and acceptance of prizes constitute permission to use winner's name, prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.

Release of Liability: Participating entrants agree to these Official Rules and the decisions of the judges and the Sponsor, and release, defend and hold harmless the Sponsor, and their respective affiliated companies, and all other businesses involved in this Sweepstakes, as well as the employees, officers, directors and agents of each from all liability, claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons (including death) and property which may be sustained in connection with either directly or indirectly, 1) the awarding, receipt, ownership, use or misuse of a prize awarded herein; or 2) participation in the Sweepstakes including but not limited to traveling to or from any prize related activity.

Sponsor is not responsible if Sweepstakes cannot take place or if any prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. Participants and his/her guest must agree to comply with all NBA and venue rules and regulations relating to the use of game tickets and, in accordance therewith, agree not to act in an unsportsmanlike or disruptive manner, or with any intent to annoy, abuse, threaten or harass any other person at such game.Ť Failure to do so may result in forfeiture of prize or prize element (as applicable).Ť Sponsor, in its sole discretion, reserves the right to: 1) disqualify any person who tampers with the entry process, the operation of NBA.com, or any other component of this Sweepstakes, or who is otherwise in violation of these Official Rules and 2) modify, suspend or terminate this Sweepstakes for any reason, as determined by Sponsor in its sole discretion, including but not limited to war, strikes, terrorist activities, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of this Sweepstakes and, in the event of termination, at its discretion, select winners from among eligible, non-suspect entries received as of the date of the event requiring such termination.

Arbitration: This Sweepstakes shall be governed by and interpreted under the laws of the State of New York, U.S.A. without regard to its conflicts of law's provisions. By participating, entrants agree that any and all disputes arising out of or relating in any way to this Sweepstakes shall be litigated only in courts sitting in New York, NY, U.S.A.
